About the job

Key responsibilities:

1. Drafting and keeping a record of all statutory records, including registers of members, directors, etc and other corporate secretarial documents;
2. Preparation and filing of Annual Filing documents and forms, making applications for dematerialisation of shares (DEMAT), co-ordinating with the Registrar and transfer agent (RTA) and resolving their queries;
3. Offering counsel on matters of law. Preparing legal opinions on queries sought by client;
4. Monitor changes in company law, FEMA and other applicable laws and ensure compliance with regulatory requirements;
5. Communicating with auditors and outside regulators;
6. Filing of ECB, FC-GPR, FLA, APR and other FEMA compliances;
7. All secretarial works such as issue of shares, increase in authorised capital, transfer of shares, charge creation, modification and satisfaction.
8. Prepare notices, agendas and supporting materials for board and general meetings.
9. Record minutes and maintain accurate record of board proceedings.
